TradeTapIQ works with referral partners, including web designers, freelancers, agencies, and other professionals who refer businesses to TradeTapIQ. These Partner Referral Terms govern that relationship.
Acceptance
You accept these Terms by checking the agreement checkbox on the TradeTapIQ partner intake form, by submitting referrals to TradeTapIQ, or by accepting a referral payout from TradeTapIQ.
Independent Contractor Status
Referral partners are independent contractors. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between TradeTapIQ and any referral partner. Referral partners have no authority to bind TradeTapIQ, make representations on behalf of TradeTapIQ, or hold themselves out as agents or employees of TradeTapIQ.
Referral Payout
Referral partners may receive a referral payout when a referred client signs up for TradeTapIQ and pays the setup fee.
The standard referral payout is $150 CAD per valid referred client, unless otherwise agreed in writing. The $150 CAD amount is the gross amount payable; partners are responsible for their own taxes and, if applicable, for invoicing TradeTapIQ with GST/HST in accordance with their tax registration status.
When a Payout Becomes Eligible
A referral payout becomes eligible only after the referred client signs up for TradeTapIQ and the setup fee payment clears.
Referral payouts are not earned for incomplete signups, unpaid setup fees, refunded or charged-back payments, duplicate referrals, self-referrals, fraudulent submissions, or accounts controlled by the referral partner or its affiliates.
Clawback
If a referred client's setup fee is refunded, charged back, or otherwise reversed within 60 days of the referral payout becoming eligible, TradeTapIQ may reverse, cancel, or offset the corresponding referral payout. If the payout has already been issued, TradeTapIQ may set off the amount against future payouts owed to the same partner or invoice the partner for return of the amount.
Referral Tracking
TradeTapIQ may track referrals using referral links, referral codes, browser-based referral storage, onboarding form fields, and internal referral records.
If more than one partner refers the same business, TradeTapIQ may credit the first valid referral record received before the client signs up.
Partner Conduct Standards
Referral partners agree that they will not:
Send unsolicited or non-compliant commercial electronic messages in connection with promoting TradeTapIQ, in violation of CASL, CAN-SPAM, or other applicable communications laws
Make false, misleading, or unsubstantiated claims about TradeTapIQ, its features, results, pricing, or guarantees
Use TradeTapIQ's name, logo, trademarks, or branding without permission, or in a manner that suggests they are an authorized representative or employee of TradeTapIQ
Bid on TradeTapIQ-branded search terms in paid search campaigns without prior written consent
Engage in self-dealing, fraud, or any other conduct that misrepresents the source of a referral
Disparage TradeTapIQ or its services in public or to prospective clients
TradeTapIQ may reject, withhold, or reverse referral payouts associated with conduct that violates these standards.
Authority to Share Prospect Information
When a referral partner shares contact information about a prospect with TradeTapIQ, the partner represents and warrants that they have the authority and any required consents to share that information with TradeTapIQ for the purpose of evaluating and onboarding the prospect.
Tax Handling
Referral partners are responsible for all taxes payable on amounts received under this program.
TradeTapIQ may request tax documentation from partners before issuing payment, including but not limited to:
GST/HST registration information for Canadian-resident partners
W-8BEN or equivalent tax forms for non-resident partners
For non-resident partners, TradeTapIQ may be required to withhold and remit non-resident withholding tax on payouts in accordance with Canadian tax law. Where withholding applies, the payout amount received by the partner will be reduced accordingly.
Referral Partner Role
Referral partners are not responsible for installing the TradeTapIQ form or supporting the client's account unless separately agreed in writing.
Referral attribution and website embed responsibility are separate. A partner may refer a client without being involved in setup or website implementation.
Payout Timing
Eligible referral payouts are issued within seven (7) business days of eligibility, subject to receipt of required payout details and any requested tax documentation.
Referral payouts are handled manually. Payout details may be requested before payment is sent.
TradeTapIQ may review, delay, reject, or withhold referral payouts in cases of suspected fraud, duplicate submissions, invalid referrals, disputed attribution, or policy abuse.
Set-Off Rights
TradeTapIQ may set off any amounts owed to a referral partner against any amounts the partner owes to TradeTapIQ, including amounts owed under the partner's own client subscription with TradeTapIQ or under a clawback.
Confidentiality
Any non-public information shared by TradeTapIQ with a referral partner, including pricing, internal processes, client lists, and unreleased features, is confidential and may only be used for the purpose of referring prospects to TradeTapIQ. Referral partners must not disclose this information to third parties without TradeTapIQ's prior written consent.
Termination
TradeTapIQ may terminate a partner's participation in the referral program at any time, with or without cause, including for violation of these Terms.
Either party may end the referral relationship at any time. Termination does not affect valid referral payouts that have already become eligible and are not subject to clawback or set-off.
Program Changes
TradeTapIQ may change, pause, or end the referral partner program at any time. Changes do not affect valid referral payouts already earned before the change.
Governing Law
These Partner Referral Terms are governed by the laws of the Province of Alberta, Canada, and the applicable federal laws of Canada. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts located in Alberta, Canada.
