Terms Of Service

By accessing or using TradeTapIQ, you agree to these Terms of Service.

Acceptance of Terms

You accept these Terms by checking the agreement checkbox during onboarding, by submitting an onboarding form that references these Terms, or by accessing or using the TradeTapIQ service.


If you are accepting these Terms on behalf of a business or organization, you represent that you have the authority to bind that business or organization to these Terms.

Service Description

TradeTapIQ is a lead capture and notification service designed to:


  • Capture website form submissions

  • Log lead information in a structured format

  • Send lead notifications by email

  • Optionally send SMS alerts for urgent leads on the Priority plan

  • Provide AI-assisted lead summaries, urgency ratings, and suggested next steps on the Smart and Priority plans

  • Provide portal access for authorized client users to view lead information


TradeTapIQ does not:


  • Handle phone calls

  • Provide call tracking or voicemail services

  • Schedule jobs or manage calendars

  • Function as a CRM or job management system


TradeTapIQ processes website form submissions and provides lead visibility tools, but does not interact directly with end-customers on your behalf unless explicitly stated as part of the service.

Service Availability

TradeTapIQ is designed to operate reliably; however, the service is provided on an "as-is" and "as-available" basis.


Temporary interruptions may occur due to maintenance or updates, internet or infrastructure issues, or third-party service provider outages. TradeTapIQ does not guarantee uninterrupted availability.

Third-Party Services

TradeTapIQ relies on third-party infrastructure providers to operate the service. These providers currently include:


  • Google (data storage, email delivery, and system infrastructure)

  • Twilio (SMS alert delivery on the Priority plan)

  • Vercel (portal hosting)

  • Neon (portal account database)

  • Stripe (billing and subscription management)

  • Make.com (workflow automation)


These services are used solely to operate and deliver the TradeTapIQ platform.


TradeTapIQ does not control the performance, availability, or policies of these third-party providers. Service interruptions, delays, or limitations caused by third-party services may affect the availability of TradeTapIQ. By using the service, you acknowledge that parts of the service depend on third-party infrastructure and that TradeTapIQ is not responsible for outages, delays, or failures originating from these external providers.

Client Responsibilities

By using TradeTapIQ, you agree that you are responsible for:


  • Providing accurate business information

  • Ensuring your use of the service complies with applicable laws

  • Managing and responding to leads received through the system

  • Ensuring that any website forms, notifications, and communications used with your business comply with applicable consent, privacy, and messaging laws, including Canada's Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, and the U.S. Telephone Consumer Protection Act (TCPA) where applicable

  • Obtaining and maintaining all consents required to capture, store, and process the personal information of end-customers who submit forms on your website


TradeTapIQ does not guarantee business outcomes, lead quality, job conversions, or revenue.

AI-Generated Content

Clients on the Smart and Priority plans receive AI-assisted lead summaries, urgency ratings, and suggested next steps. These outputs are generated automatically and are advisory only. They may contain errors, misinterpretations, or omissions. Clients should not rely on AI-generated content as the sole basis for decisions about contacting, prioritizing, or responding to leads. Clients remain responsible for reviewing leads independently.

Billing and Refunds

TradeTapIQ setup and service fees are billed as agreed during onboarding.


Because TradeTapIQ involves custom configuration and setup work:


  • Setup fees are non-refundable once setup has begun, unless otherwise agreed in writing.


If your plan includes a recurring monthly subscription:


  • Subscription fees are billed monthly in advance and are non-refundable once billed for the current billing period.

  • TradeTapIQ is billed month to month.

  • You may cancel the service at any time through your client portal.

  • If you cancel, service access continues through the end of the current paid billing period and will then end.


If you believe there has been a billing error, please contact support@tradetapiq.com and we will review it promptly.

Auto-Renewal

TradeTapIQ subscriptions automatically renew each month on the same billing cycle until cancelled. By accepting these Terms and providing a payment method, you authorize TradeTapIQ and its payment processor to charge that payment method automatically for each billing period until the subscription is cancelled. You can review your next billing date and cancel renewal at any time from your client portal.

Plan Changes

You may upgrade your plan at any time through the portal or by using the applicable upgrade form. Upgrades may include a one-time upgrade fee, a prorated subscription difference for the current billing period, and applicable taxes, which will be charged to the payment method currently on file at the time of the upgrade. The new recurring monthly rate applies starting with the next billing period.


You may downgrade your plan to take effect at the end of the current billing period.

Cancellation

You may cancel your subscription at any time by submitting the cancellation form available in the settings area of your client portal. To verify the cancellation request matches your account, the form requires the email address or business name currently on file with TradeTapIQ.


Cancellations are processed when the verified cancellation request is received. Service access continues through the end of the current paid billing period and then ends. Cancellation requests received less than 24 hours before a scheduled subscription renewal may not prevent the upcoming renewal from being charged; in that case, service continues through the end of the renewed billing period.


TradeTapIQ may suspend or terminate access earlier if required due to non-payment, misuse, abuse of the service, or violation of these Terms.

Data Ownership and Retention After Cancellation

Lead data and account data belong to the client (the trades business). TradeTapIQ acts as a service provider processing that data on the client's behalf.


After cancellation or termination of service:


  • Clients retain portal access and the ability to export lead data through the end of the current paid billing period.

  • After the end of the current paid billing period, portal access is removed.

  • Client data, including the leads sheet and business information sheet, is permanently deleted within 90 days of service termination, except where TradeTapIQ is required to retain certain records for legal, accounting, or fraud-prevention purposes.

  • Clients may request earlier deletion of their data by contacting support@tradetapiq.com.


It is the client's responsibility to export any data they wish to retain before the end of the current paid billing period.

SMS Notifications

If SMS alerts are enabled:


  • Messages are sent based on configured urgency rules.

  • Delivery depends on third-party carriers and messaging infrastructure.

  • Message delivery cannot be guaranteed.


Clients are responsible for ensuring their use of SMS notifications, and any messages they configure to be sent to end-customers, complies with applicable laws and messaging regulations, including consent requirements under CASL and U.S. messaging laws. Clients represent and warrant that any phone numbers configured to receive SMS alerts belong to authorized recipients who have consented to receive those messages.


TradeTapIQ provides SMS alerts as a notification mechanism only and does not control carrier delivery or recipient consent.

Intellectual Property

TradeTapIQ retains all right, title, and interest in and to the TradeTapIQ service, including its software, automation workflows, portal interfaces, AI prompts, configurations, templates, documentation, and branding. No ownership, license, or other rights to TradeTapIQ's intellectual property are transferred to clients except a limited, non-exclusive, non-transferable right to use the service during the active subscription period.


Clients retain ownership of their lead data, business information, and content they submit to the service.

Indemnification

The client agrees to defend, indemnify, and hold harmless TradeTapIQ, its operators, contractors, and service providers from any third-party claim, demand, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or related to:


  • The client's use of the service

  • The client's breach of these Terms

  • The client's violation of any law or regulation, including CASL, TCPA, CAN-SPAM, or privacy and consumer protection laws

  • Any communications, including emails and SMS messages, sent through or as a result of the client's configuration of the service

  • Any content, data, or information the client provides or causes to be processed through the service


This obligation survives termination of the service.

Limitation of Liability

To the maximum extent permitted by law:


  • TradeTapIQ is not liable for missed leads, lost revenue, lost profits, or business interruption resulting from use of the service.

  • TradeTapIQ is not responsible for how leads are handled after they are delivered to the client.

  • TradeTapIQ is not liable for service failures caused by events outside of its reasonable control, including outages of third-party providers, internet disruptions, natural events, or governmental actions.

  • TradeTapIQ's total liability arising out of or relating to the service will not exceed the greater of (a) the amount paid by the client to TradeTapIQ during the three (3) months immediately preceding the event giving rise to the claim, or (b) five hundred Canadian dollars (CAD $500).


Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.


Use of the service is at your discretion.

Force Majeure

TradeTapIQ is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, fires, floods, pandemics, governmental actions, labour disputes, war, terrorism, internet or telecommunications outages, third-party service provider outages, or other force majeure events.

Termination

Either party may discontinue use of the service at any time, in the manner described in the Cancellation section above.


If a recurring service is cancelled, service access continues through the end of the current paid billing period and will then end.


TradeTapIQ may suspend or terminate access earlier if required due to non-payment, misuse, abuse of the service, or violation of these Terms.

Notice

TradeTapIQ may provide notice to clients through the portal, by email to the address on file, or both. Clients may provide notice to TradeTapIQ at support@tradetapiq.com. Notices are considered received on the next business day following delivery.

Assignment

The client may not assign or transfer these Terms, or any rights or obligations under them, without TradeTapIQ's prior written consent.


TradeTapIQ may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, or to a successor or affiliate, without notice.

Entire Agreement

These Terms, together with the Privacy Policy and any onboarding forms, plan documentation, or written agreements between the parties, constitute the entire agreement between the client and TradeTapIQ regarding the service and supersede any prior or contemporaneous agreements, communications, or understandings.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision will be modified only to the extent necessary to make it valid and enforceable while preserving its intent.

Survival

Provisions that by their nature should survive termination, including those related to intellectual property, data ownership and retention, indemnification, limitation of liability, governing law, and survival itself, survive termination of these Terms.

Changes to These Terms

TradeTapIQ may update these Terms of Service from time to time. Updated Terms will apply to future use of the service after they are posted. Material changes may be communicated to clients through the portal or by email. Continued use of the service after updates indicates acceptance of the revised Terms.

Governing Law

These Terms of Service are governed by the laws of the Province of Alberta, Canada, and the applicable federal laws of Canada. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts located in Alberta, Canada.
